BYLAWS  of The

NORTH CAROLINA WATER SKI ASSOCIATION, INC

As of November 12, 2005

Article I

Section 1. The name of this nonprofit corporation is the North Carolina Water Ski Association, Inc. a member of the Southern Region of the American Water Ski Association (AWSA), a Sports Discipline of USA Water Ski (USA-WS), Inc.

 

Article II

Purpose

Section 1. The purpose of the North Carolina Water Ski Association is to promote water skiing throughout the state of North Carolina by helping to organize ski clubs, sponsor or co-sponsor AWSA tournaments and also to work with all organizations connected with water sports to promote water safety throughout the state. The corporation will keep its members informed of AWSA water skiing activities in North Carolina through newsletters published on a regular basis. It is established as a nonprofit organization.

 

Article III

Membership

Section 1. Membership in the corporation is open to any individual regardless of sex, age, race, creed, or color. The individual does not have to be a resident of North Carolina; however, out of state members shall not be eligible to vote or hold office.

Section 2. Classes of membership.

(a) Single - A single membership shall be for one person only and does not include their spouse or any member of their family.

(b) Family - Family memberships must be made up of a married person, his or her spouse and immediate family.

Section 3. The Family membership includes those immediate family members, which are dependants under the age of 21 on January 1 of the calendar year

 

Article IV

Membership Fees

Section 1. (a) Annual fees for the corporation shall be as follows:

Single - $10.00

Family - $15.00

    1. The fiscal year for the corporation shall be from NC State AWSA Championships to NC State AWSA Championships.
    1. Membership in the corporation runs from January 1 to December 31 of the calendar year

(d) Any person may join the corporation at any time during the calendar year with full fees due upon application for membership.

 

Article V

Voting Privilege

Section 1. Any member shall be eligible to vote who is at least eighteen (18) years of age prior to the NC State AWSA Championships and is a state resident.

 

Article VI

Officers and Duties

Section 1. There shall be three elected officers of the corporation. All officers must be eighteen (18) years of age or older. They shall take office at the close of the meeting at which they are elected and shall be elected by a majority of the members present at the election meeting. These officers and duties shall be as follows:

President

Vice President

Secretary/Treasurer

: He/she shall keep all minutes and correspondence of the corporation, and read or cause to be read said material at meetings. He/she shall have custody of and be responsible for all funds received by the corporation and deposit such funds in such bank designated by the corporation. He/she may sign any checks for disbursement of corporation funds.
: He/she shall serve in the absence of the president in all duties of that office. He/she shall handle any duty assigned to him by the president. He/she may sign any checks for disbursement of corporation funds.
: He/she shall preside over all meeting and represent the association at all times. He/she shall sign or cause to be signed any contracts or agreements in the name of the corporation. He/she shall in the name of the corporation see that all by-laws, rules, and regulations are enforced. He/she shall serve as one of the three (3) AWSA Regional Councilpersons representing the corporation. He/she may sign any checks for disbursement of corporation funds. He/she shall have the same voting privilege as any other member.

Section 2. The term for the corporation officers shall be for a period of two years. Corporation officers may serve more than one term.

 

Article VII

AWSA Regional Councilpersons

Section 1. Two (2) AWSA Regional Councilpersons in addition to the President shall represent the corporation at the AWSA Southern Region Council meetings.

Section 2. AWSA Regional Councilpersons shall be elected by a majority of the membership present at the annual meeting. The term for the AWSA Regional Councilpersons shall be two (2) years and will alternate with the election of state officers. The AWSA Regional Councilpersons may serve more than one term.

Section 3. The president may appoint a replacement to any vacated AWSA Regional Council position.

 

Article VIII

Committees

Section 1. The president shall appoint any standing committees or additional officers he deems necessary to carry on the functions of the corporation. These appointments shall last only as long as that president is in office.

 

Article IX

Meetings

Section 1. The annual meeting of the corporation shall be held in July. The business conducted at this meeting shall be limited to the election of officers, AWSA Regional Councilpersons, and the AWSA Regional site vote.

Section 2. Regular meetings of the corporation shall be held in July (in conjunction with the NC AWSA State Championships) and the second Saturday in November of each year.

 

Article X

Amendments

Section 1. These by-laws may be amended at any meeting of the corporation by a majority of the members present at the meeting and without written notification to the members.

 

Article XI

Net Earnings

Section 1. No part of the corporation’s net earnings shall inure to the benefit of any of the officers, directors, or members of this corporation in the form of profit, salaries, dividends, etc. All of the corporation’s net earnings shall be spent for the benefit of its members as a whole for the purpose of the corporation as stated in Article II, Section 1 of these by-laws.

 

Article XII

Dissolution

Section 1. In the event that the corporation is dissolved, the assets of the corporation shall be returned to its paying members, after the liabilities and all outstanding debts of the corporation are paid. The assets returned to paying members shall not exceed the amount of dues paid for one year by that member as stated in Article IV, Section 1 of these by-laws. Any assets remaining after dues are returned shall be given to another corporation to be determined by the members at time of dissolution
